These Terms and Conditions (“Terms”) are a legal agreement between you (“you”, “User”) and MIDPEI LTD, trading as XCallBot, a company registered in England and Wales with company number 12563950 and registered office at 86-90 Paul Street, London, England, EC2A 4NE (“Company”, “we”, “us”, or “our”).

These Terms govern your access to and use of the XCallBot website, platform, and services (collectively, the “Service”). By using the Service, you agree to comply with and be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Service.

These Terms comply with applicable UK law and should be read in conjunction with our Privacy Policy. By using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Eligibility and Access

  • You must be 18 years or older to use XCallBot.
  • You agree to use the Service only for lawful business purposes.
  • You are responsible for all activity that occurs under your account.

2. Services Provided

XCallBot provides AI-powered phone receptionist services, including but not limited to:

2.1 Voice Cloning

  • You consent to AI replication of your voice for Service purposes only.
  • You warrant that you have the legal right to provide the voice sample used.
  • Voice data is stored securely and used exclusively for your account.
  • 24/7 call answering in your own cloned voice
  • Appointment scheduling and calendar integration
  • Call transcription and voicemail handling
  • Call transfer, SMS follow-ups, and CRM syncing
  • Integrations with 6000+ apps via Zapier

3. Subscription and Billing

  • Subscriptions are billed monthly or annually with included call minutes.

3.1 Free Trial

  • Free trials last 7 days with no credit card required.
  • Trial accounts include access to all standard features.
  • No charges will apply unless you upgrade to a paid plan.
  • Overages are charged per-minute as outlined in the Pricing Plan.
  • Prices are inclusive of UK VAT where applicable.
  • Users may cancel at any time with 30 days’ notice.

4. Compliance and Responsibilities

  • You are responsible for complying with UK telecom laws (e.g. PECR, GDPR).
  • You must notify callers if calls are recorded.
  • You must not use the Service for illegal, harassing, fraudulent, or non-consensual communications.

5. Acceptable Use

You agree not to:

  • Use the Service for unsolicited marketing (spam)
  • Use false or spoofed caller IDs
  • Harass, abuse, or mislead recipients
  • Make emergency calls or calls that violate Ofcom regulations

6. Service Availability

  • We aim to maintain 99.9% uptime but cannot guarantee uninterrupted service.
  • Scheduled maintenance will be communicated with at least 24 hours’ notice.
  • We are not liable for losses resulting from downtime beyond our control.

7. Data & Privacy

  • We process call data and contact details in accordance with UK GDPR.
  • Call recordings, transcripts, and customer info are processed securely.
  • We never sell your data. See our Privacy Policy for full details.

8. Limitations and Disclaimers

  • The Service is provided “as-is.”
  • We are not liable for indirect damages or losses arising from your use of the Service.
  • Your total liability shall not exceed 3 months of service fees paid.

9. Modifications

We may update these Terms. Significant changes will be communicated to users via email or platform notification. Continued use of the Service constitutes acceptance.

10. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Termination

  • Either party may terminate the agreement with 30 days’ written notice.
  • Upon termination, your data will be deleted within 30 days.
  • Any outstanding charges will remain payable.

12. Indemnification

  • You agree to indemnify and hold us harmless from any claims, damages, or liabilities arising from your use of the Service.
  • This includes violations of these Terms, applicable laws, or misuse of the platform.
